Robson's Annotated Corporations Legislation - New annotations on Chapters 8A and 8B

Professor Tom Middleton of James Cook University in Townsville has joined the author team for Robson's Annotated Corporations Legislation. The September 2024 update includes the first annotations to provisions in Chapters 8A and 8B of the Corporations Act 2001 (Cth) on the Asia Region Funds Passport and Corporate Collective Investment Vehicles respectively. Although neither chapter has been tested in the courts, the Australian Securities and Investments Commission has issued Regulatory Guides to assist participants. 

Tom is Associate Professor in Corporate Law at the School of Law at James Cook University. He has 20 years' teaching experience in company, commercial and taxation law and teaches a course on the law of corporate investigations. He is also the author of the Thomson Reuters updating service, ASIC Corporate Investigations and Hearings.

The Asia Region Funds Passport enables collective investment schemes to be sold in participating foreign markets (currently Japan, New Zealand, The Republic of Korea and Thailand) under the Passport Rules. Chapter 8A sets out the procedures by which Australian schemes may be registered by ASIC as passport funds to enable them to operate in participating economies and lays out the processes for foreign passport funds to notify ASIC about their intention to offer interests to Australian investors. It also sets out situations where ASIC may reject such notifications.
The Corporate Collective Investment Vehicle (CCIV) is an international investment vehicle that mirrors the structure of those already operating in Singapore, the United Kingdom and Europe. It is comprised of sub-funds and is an alternative to managed investment schemes that are structured as trusts. Chapter 8B contains the core provisions to establish the framework for CCIVs and aligns Australian law with those in other participating countries.
