The latest update to the Australian Commercial Precedents suite involves a complete review of the Intellectual Property Licensing Precedents by our newly commissioned authors Luke Dale and Niomi Abeywardena of HWL Ebsworth Adelaide.

Luke is a partner and practises in the areas of corporate and commercial law, with a particular focus on intellectual property law and brand protection, technology law, media and entertainment law and trade practices issues including franchising, competition and consumer protection.

Niomi Abeywardena is Special Counsel and specialises in all aspects of commercial intellectual property law as well as IT, media and technology law, privacy, cybersecurity and data protection, and competition and consumer law.

The module is divided into two separate categories:

  • Standard IP Licensing Agreements – including an IP Assignment Deed and an IP Licencing Agreement; and
  • Software Licensing Agreements – including a Software Licence and Support Agreement, End User Licence Agreement, Terms of Service Agreement and a Software Development and Implementation Agreement.

As with all of the Modules, the IP Licensing Precedents are supported by a Word Template User Guide (Office 365) and are offered both online and in Word. The online component essentially offers a searchable clause database with linking functionality, while the downloadable Word documents are where the actual drafting takes place.
