A company undertaking an initial public offering (IPO) must prepare a prospectus that meets various disclosure requirements set out in the Corporations Act 2001 (Cth) (Corporations Act), ASX Listing Rules and Australian Securities and Investments Commission (ASIC) regulatory guides. 

Practical Law Corporate has published Standard document, Prospectus content checklist to assist companies and practitioners to ensure that the prospectus meets these various disclosure requirements. The document is a checklist that sets out the prescribed and recommended disclosure requirements for a prospectus and can be used by an entity undertaking an IPO listing on the Australian Securities Exchange (ASX) to check that the offer prospectus to be lodged with ASIC includes the specific and general disclosures required under the Corporations Act and the ASX Listing Rules. The checklist is intended for internal use only to assist with drafting the prospectus by allowing the company, or relevant members of its legal team, to cross-reference the disclosures set out in this checklist against the relevant section of the draft prospectus.
