Practical Law In-house have released brand new resource Practice note, Serving as director or officer: considerations for in-house lawyers, examining the key issues that in-house lawyers should consider before assuming the additional role of director or company officer.

This resource provides an overview of the key issues that in-house lawyers should consider before agreeing to serve as director or officer or office holder of their corporate client. It explains the circumstances in which an in-house lawyer may inadvertently become a director or officer and provides practical strategies to avoid assuming a dual role.  

While this note focuses on the responsibilities of company directors and officers in a public company, it is also broadly applicable to directors and officers of privately held companies.
